A primary part of our service is the investment banking consulting we provide related to the formation of proper transaction structure and development of the offering documents and SEC filings. Please see the main Services section for a full description of our offering preparation and investment banking consulting.
Our offering preparation services and investor resources include:
Detailed step-by-step instructions covering every facet of the Regulation D Offering process: pre-offering structuring support (which SEC program to use, basic transaction structure, etc.), completing your private placement memorandum, filing with the SEC;
Professional Private Placement Memorandum (PPM), complete with Subscription Agreement, Investor Suitability Questionnaire, and Promissory Note (for debt offerings). This documentation is critical to raising capital from investors. We design PPM documents for your specific types of transactions and entity types. Our staff develops a draft offering document - the draft is then reviewed multiple times by our staff for any needed modifications and changes;
We provide you with the SEC Form D Compliance filing package;
Multiple reviews of all draft offering documentation and the SEC Form D filing by our principals to ensure our clients have prepared an accurate and professional offering;
Contact information on State Compliance regulators for easy, efficient State "Blue Sky" Compliance and assistance with the completion of any needed State filings;
Our services and resources provide the three fundamentals your company needs to raise capital from investors:
The Proper Method for Soliciting Investors: The Regulation D Offering Programs were designed by the SEC for private business.
Proper Transaction Structure: many entrepreneurs are not experts in raising capital properly - thus they do not develop their transaction with proper, attractive structure. If the core transaction structure is not attractive, or if you are missing key items, you will appear very unprofessional to prospective investors.
Investment Documentation: raising capital from investors, debt or equity, of any amount requires very specific documentation that far surpasses what a business plan provides. It is imperative that a company seeking capital from investors have in place a Private Placement Memorandum, a Subscription Agreement, and in debt offerings a Promissory Note Agreement. Raising capital without these documents is nearly impossible - they are a necessity.
